Effective date: September 8, 2026
This Seller Agreement (the “Seller Agreement”) is a contract between you (“you,” “your,” or “Seller”) and ShopMyNest LLC (“ShopMyNest,” “we,” “us,” or “our”). It governs the listing, sale, and fulfillment of items through the ShopMyNest website at shopmynest.com and the ShopMyNest mobile app (together, the “Service”).
This Seller Agreement is in addition to, and incorporates by reference, the ShopMyNest Terms of Service, Privacy Policy, Return & Refund Policy, and Shipping Policy. If there is a conflict between this Seller Agreement and the Terms of Service, this Seller Agreement controls with respect to selling on ShopMyNest.
By opening a Seller account, listing an item, or accepting an order on ShopMyNest, you agree to this Seller Agreement. If you don’t agree, don’t sell on ShopMyNest.
1. Eligibility and account
1.1 Who can sell
To sell on ShopMyNest you must:
- Be at least 18 years old and able to form a binding contract.
- Reside in the United States and be able to ship from a US address.
- Have a valid US bank account in your legal name (or your business’s legal name) capable of receiving ACH transfers.
- Provide accurate identity, contact, and tax information as ShopMyNest requests.
If you sell on behalf of a business, you represent that you’re authorized to bind that business to this Seller Agreement and that the account belongs to that business.
1.2 One account per Seller
Each Seller may operate one Seller account, tied to one bank payout destination, unless ShopMyNest expressly authorizes an additional account in writing. Creating duplicate or evasion accounts is a violation of this Seller Agreement.
1.3 Account information
You are responsible for keeping your legal name, business name (if any), shop name, email address, ship-from address, and bank payout details current and accurate. Email help@shopmynest.com right away if you suspect unauthorized access to your account.
2. Marketplace role
2.1 ShopMyNest is a venue
ShopMyNest is a marketplace venue. You — not ShopMyNest — are the seller of every item listed under your shop. You set the price, the description, the photos, the processing time, and the returns terms (subject to the Return & Refund Policy). ShopMyNest does not take title to items at any point. The contract of sale is formed between you and the Buyer.
2.2 What ShopMyNest does
ShopMyNest provides the listing tools, checkout, in-app messaging, order management, seller dashboard, payment facilitation through Stripe, shipping-rate and label facilitation through Shippo, and dispute mediation as described in the Return & Refund Policy.
2.3 What ShopMyNest does not do
ShopMyNest does not warrant items sold on the Service, does not guarantee sales volume, and does not act as your agent, employer, or partner. You are an independent seller and are solely responsible for your business, your inventory, your tax filings, and your compliance with law.
3. What you may sell — the handmade standard
3.1 Handmade and one-of-a-kind only
ShopMyNest is a marketplace for handmade and one-of-a-kind goods. To list an item on ShopMyNest, one of the following must be true:
- You made it yourself. You designed and physically produced the item, or you designed it and hand-finished each piece.
- You made it with production assistance you disclose. If you designed the item and a person or small workshop helps you produce it, you must (a) disclose the production assistance in your shop bio or the listing description, (b) still be involved in every unit’s production or finishing, and (c) not use mass-production facilities that would make the item indistinguishable from off-the-shelf goods.
- It is a vintage or one-of-a-kind item you have the right to sell. Genuinely one-of-a-kind pieces (e.g. a single antique, a single upcycled find) qualify; a batch of identical drop-shipped items does not.
3.2 Not permitted
The following are not permitted on ShopMyNest even if they are otherwise legal:
- Mass-produced goods that you did not design and are not hand-finishing.
- Drop-shipped items and items resold from a wholesaler or another marketplace.
- Print-on-demand items where you did not create the underlying design.
- Digital-only downloads at launch (this may change; we’ll announce it here).
- Services (as opposed to physical goods).
3.3 Prohibited items
You may not list any of the following, whether handmade or not:
- Items that are illegal to sell in the United States or in the Buyer’s state.
- Recalled items or items subject to a mandatory safety recall.
- Counterfeit, replica, or unauthorized-reproduction items.
- Hazardous materials, flammables, explosives, and fireworks.
- Weapons, weapon components, ammunition, and knives designed primarily as weapons.
- Live animals, animal remains from protected species, and animal products that require permits you do not hold.
- Controlled substances, cannabis and cannabis-derived products (including CBD at launch), tobacco products, and vaping products.
- Prescription medical devices and drugs.
- Adult or sexually explicit content.
- Human remains, body parts, and bodily fluids.
- Items that promote hate, violence, or discrimination against a protected class.
- Items that infringe another party’s copyright, trademark, patent, right of publicity, or other rights.
- Items that require licenses or registrations you do not hold (e.g. federally regulated goods).
- Any item ShopMyNest identifies as prohibited from time to time in the Seller dashboard or Help Centre.
We may remove any listing at any time. Repeated or serious violations will result in suspension or termination of your Seller account under Section 12.
3.4 Age-appropriate items
Items intended for children under 12 must comply with all applicable US consumer product safety laws, including the Consumer Product Safety Improvement Act (CPSIA), lead-content and phthalate limits, and required tracking labels. You are responsible for ensuring your items meet these requirements before you list them.
4. Listings
4.1 Accuracy
Every listing must be an accurate representation of the item you will ship. Photos must be of the actual item (or, for made-to-order items, of a representative unit you produced). Descriptions must state the materials, dimensions, and any known variations. If an item is made-to-order, the listing must say so and state the processing time.
4.2 Photos and content you own
By uploading photos, descriptions, and other content to your listings, shop bio, or Blog submissions, you represent that you own or have permission to use that content and grant ShopMyNest the license described in Terms of Service §9. Don’t use another maker’s photos.
4.3 Pricing
You set your own prices in US dollars. Prices shown to Buyers must be inclusive of your margin and of any additional fees you want to recover (other than shipping and sales tax, which are handled separately). Bait-and-switch pricing, off-platform price steering (see §7), and coordinated price fixing with other Sellers are prohibited.
4.4 Categories and tags
List each item in the most accurate category and use tags honestly. Miscategorizing items to gain exposure is a violation of this Seller Agreement.
4.5 Made-to-order and personalized items
If you sell made-to-order or personalized items, state the processing time on the listing, collect any customization details at checkout, and start production only after payment is captured. Once you begin production, the item is not eligible for a “changed my mind” cancellation under the Return & Refund Policy.
5. Fees, payments, and payouts
5.1 Platform fee
ShopMyNest charges a flat 10% platform fee on the product portion of every order. The platform fee does not apply to shipping charges or sales tax.
5.2 Payment-processing fee
A payment-processing fee is charged on every order to cover Stripe card-network costs. As of the effective date of this Seller Agreement, that fee is included in the shipping line at checkout and passed through to the Buyer. Current fee levels are shown in your Seller dashboard before you list or accept an order. ShopMyNest may adjust the fee structure prospectively; changes will be announced in the dashboard and by email at least 30 days before they take effect for Sellers.
5.3 Sales tax
For orders where ShopMyNest is required to act as a marketplace facilitator, ShopMyNest calculates, collects, and remits sales tax to the destination state. For all other orders, you are responsible for determining, collecting, and remitting sales, use, VAT, or other taxes that apply to your sales. ShopMyNest may provide reports to help you file, but it is your responsibility to file correctly.
5.4 Payouts
Seller payouts are processed by ShopMyNest as ACH bank transfers from our business checking account to the bank account you save in the app. Sellers do not sign up for or maintain any account with our third-party payment processor.
- Availability. Funds from a paid order become available for payout two (2) business days after the order is marked paid, matching our card processor’s payout cycle.
- Minimum. You may request a payout once your available balance reaches the $25 minimum.
- How to request. Request a payout of your available balance from the Payouts screen in the Seller dashboard. Payouts typically settle in your bank account within 1–3 business days after the request, depending on your bank.
- Bank details. To receive payouts you must provide accurate bank routing and account numbers and keep them up to date. Payouts sent to bank details you provided are your responsibility; failed or returned payouts may incur a processor-passed-through fee.
5.5 Reserved earnings and refund offset
ShopMyNest may hold funds in reserve, or offset future earnings, when it is reasonably necessary to protect against refund, chargeback, or dispute risk. Situations in which ShopMyNest may reserve or offset include:
- An open Buyer dispute or ShopMyNest mediation on an order.
- A pattern of complaints, cancellations, chargebacks, or late shipping.
- A new Seller account during an initial trust window.
- A pending refund that exceeds your current available balance — in which case future earnings will be offset until the refund is fully covered.
Reserved earnings will be released as the risk that triggered the reserve resolves.
5.6 Chargebacks
If a Buyer files a chargeback with their card issuer, the funds for that order will be locked pending the outcome. If the chargeback is granted to the Buyer, the refund and any card-network chargeback fee passed through by Stripe will be deducted from your balance under §5.5. ShopMyNest will represent the transaction to the extent it can; you agree to provide the evidence ShopMyNest requests (photos, tracking, correspondence) within 3 business days of a request.
5.7 Currency
All transactions on ShopMyNest are in US dollars. ShopMyNest does not offer currency conversion at launch.
5.8 1099 reporting
ShopMyNest will issue an IRS Form 1099-K to Sellers who meet the applicable federal threshold in a calendar year, and equivalent forms where required by your state. You are responsible for the accuracy of the taxpayer information (SSN or EIN, legal name, business name) you provide.
6. Shipping and fulfillment
6.1 Ship from a US address
You must ship from the ship-from address on your Seller account. If your ship-from address changes, update it before accepting new orders so live rates quote correctly.
6.2 Processing time
Every listing has a processing time (how long it takes you to prepare and hand the order to the carrier), separate from carrier transit time. A typical handmade processing time is 1–5 business days; made-to-order items may be longer. Ship within the processing time you promised.
6.3 Labels through Shippo
ShopMyNest provides live shipping rates and label purchasing through Shippo. Rates the Buyer paid at checkout are the rates you receive when you buy the label; ShopMyNest does not up-charge shipping. You may:
- Buy and print labels through the order detail screen in the app.
- Enter carrier and tracking manually if you ship outside the in-app flow (see Shipping Policy — “Manual tracking”).
Labels are non-transferable and may only be used for the specific order they were purchased for.
6.4 Label refunds
Purchased labels are refundable through Shippo only if (a) the label has not been scanned into the carrier network and (b) fewer than 14 days have passed since purchase. Once either condition is no longer met, the label is final and non-refundable. This window is set by the carrier through Shippo and cannot be extended by ShopMyNest.
6.5 Handoff and proof of shipment
Hand the package to the carrier within your processing time. If the carrier never scans the label, ShopMyNest treats the package as not shipped and may refund the Buyer from your balance under §5.5.
6.6 Lost, damaged, and mis-delivered packages
If a package is lost, damaged, or mis-delivered by the carrier:
- Message the Buyer and work with them under the Return & Refund Policy.
- If the loss or damage is the carrier’s fault, file a claim with the carrier. Any carrier reimbursement belongs to whichever party paid for the label (typically the Buyer through the shipping line at checkout).
- If ShopMyNest mediates and rules for the Buyer, the refund and any return-shipping cost are charged to your balance.
6.7 International shipping
ShopMyNest supports shipping within the United States only at launch. You may not accept off-platform international orders that use ShopMyNest as a listing venue.
7. Off-platform activity
7.1 No fee evasion
You may not use ShopMyNest to build a Buyer relationship and then complete the transaction off-platform to avoid the platform fee. Specifically, you may not:
- Direct Buyers to your own website, another marketplace, or a payment link to complete a sale that started on ShopMyNest.
- Cancel a ShopMyNest order and then invoice the Buyer directly for the same item.
- Include off-platform contact information (personal email, phone, external URLs, QR codes to payment pages) in listings, messages, packing slips, or business cards inserted into shipments with the intent of moving the sale off-platform.
7.2 What is allowed
You may:
- Include a hand-written thank-you note and your shop’s name or social media handles in a package as part of the Buyer experience.
- Answer Buyer questions about your other work and mention that additional pieces are available in your ShopMyNest shop.
- Use ShopMyNest content responsibly in your own marketing, subject to §11.
The line is intent: providing your identity as a maker is allowed; steering the transaction off ShopMyNest is not.
7.3 Consequences
ShopMyNest may reverse fees, deduct the equivalent platform fee from your balance, suspend, or terminate accounts that engage in fee evasion.
8. Buyer communication and service standards
8.1 Response times
- Respond to Buyer messages within 3 business days.
- Respond to a ShopMyNest mediation request within 2 business days.
- Ship within the processing time posted on your listing.
8.2 Tone
Communicate with Buyers respectfully. Threats, harassment, discriminatory language, or retaliatory behavior toward Buyers or ShopMyNest staff is a violation of this Seller Agreement and may lead to immediate termination.
8.3 Reviews
Buyers may leave reviews of purchased items. You may reply to a review publicly, but you may not:
- Offer refunds, discounts, or free items in exchange for reviews or in exchange for changing or removing a review.
- Threaten or retaliate against a Buyer for leaving an honest review.
- Post reviews of your own shop, or arrange for others to do so.
You may ask ShopMyNest to remove a review that violates the Terms of Service; ShopMyNest’s decision is final.
9. Returns, refunds, and disputes
9.1 Default framework
The Return & Refund Policy is the default framework for every order. As a Seller you may:
- Offer terms more generous than the default (e.g. 30-day buyer’s-remorse returns). State them in your listing.
- Not offer terms less generous than the default. If your listing conflicts with the Return & Refund Policy, the Return & Refund Policy controls.
9.2 Contact the Seller first
Buyers are asked to message you first through the order in the app. You have 3 business days to respond and a reasonable time to propose a resolution (partial refund, replacement, prepaid return label, or exchange).
9.3 ShopMyNest mediation
If you and the Buyer can’t agree, either party may escalate to ShopMyNest by emailing help@shopmynest.com. A ShopMyNest administrator reviews both sides and issues a decision. The mediator’s decision is binding on both parties for the purposes of the ShopMyNest platform.
9.4 ShopMyNest’s right to refund from your balance
ShopMyNest reserves the right to issue a refund to the Buyer from your balance, without your consent, when the purchase is significantly not as described (SNAD) or fraudulent. The bar is high and ShopMyNest exercises the right sparingly. Examples are listed in the Return & Refund Policy — Step 3. You accept this right as a condition of selling on ShopMyNest.
9.5 Return authorization
Do not accept a return without a written authorization message in the app or a mediation decision from ShopMyNest. Unauthorized returns arriving at your ship-from address do not obligate you to refund and do not obligate ShopMyNest to refund from your balance.
10. Prohibited seller conduct
In addition to the item prohibitions in §3, you may not:
- Manipulate search, ranking, favorites, sales counts, or reviews.
- Create fake accounts, or use another person’s identity, to buy your own items or to influence reviews.
- Coordinate with other Sellers to fix prices or divide categories.
- Use bots, scrapers, or automated tools against ShopMyNest other than through publicly documented APIs.
- Circumvent ShopMyNest fees, taxes, or dispute processes.
- Use ShopMyNest to send spam, phishing, or unsolicited marketing to Buyers.
- Collect Buyer personal information beyond what ShopMyNest provides to you for fulfillment (see §14), or use that information for any purpose other than fulfilling the order.
11. Intellectual property
11.1 Your content
You retain ownership of the photos, descriptions, and other content you upload. You grant ShopMyNest the license described in Terms of Service §9 to host, display, and promote that content on and in connection with the Service, including in ShopMyNest marketing that credits you as the Seller.
11.2 Others’ IP
Do not list items, use photos, or use descriptions that infringe a third party’s copyright, trademark, patent, right of publicity, or other rights. Repeat infringement will result in termination under §12.
11.3 Reporting infringement
If you believe another Seller is infringing your intellectual property, submit a notice to help@shopmynest.com with the information listed in Terms of Service §10. ShopMyNest reviews every notice and, where appropriate, removes the listing, counter-notifies the reported Seller, and — for repeat infringers — terminates the account.
11.4 ShopMyNest brand
The ShopMyNest name, the nest-and-bird mark, and the Service’s look and feel are ShopMyNest’s property. You may reference “ShopMyNest” and use the ShopMyNest badge on your own site or social to indicate you sell on ShopMyNest, following any brand guidelines we publish. You may not imply endorsement, partnership, or employment beyond that.
12. Suspension and termination
12.1 By you
You may close your Seller account at any time by emailing help@shopmynest.com from the address on your account, once open orders have shipped and any Buyer disputes have been resolved.
12.2 By ShopMyNest
ShopMyNest may suspend or terminate your Seller account, remove listings, hold or forfeit funds, and take other reasonable action if you:
- Violate this Seller Agreement, the Terms of Service, the Return & Refund Policy, the Shipping Policy, or the Privacy Policy.
- Create legal, financial, or reputational risk for ShopMyNest or its users.
- Repeatedly miss processing times, fail to respond to Buyers, or accumulate refunds, chargebacks, or SNAD findings at a rate that materially exceeds the platform average.
- Are required to be removed by law, court order, or a governmental authority.
12.3 What happens on termination
On termination:
- Your listings are removed from the Service.
- Open orders must be shipped and dispute-clear before final payout, unless ShopMyNest cancels them and refunds Buyers.
- Your available balance, less reserves under §5.5 and any refunds or chargebacks charged against it, will be paid out to your saved bank account.
- Sections that by their nature should survive (fees already earned, reserves, refund offsets, indemnity, disclaimers, limits of liability, IP, disputes) survive termination.
13. Warranties, disclaimers, and indemnity
13.1 Your warranties
You represent and warrant that:
- You have the right to sell each item you list.
- Each item complies with §3 (handmade standard, prohibited items) and with all applicable laws.
- Your listings, photos, and descriptions do not infringe third-party rights or violate law.
- The information you provide ShopMyNest (identity, tax, banking, shipping) is accurate.
- If ShopMyNest is required to act as a marketplace facilitator for a Buyer’s state, you will accept ShopMyNest’s tax calculations and remittance for those orders.
13.2 Product warranties come from you
Because ShopMyNest is a venue, any warranty for an item comes from you, the Seller, not from ShopMyNest. Consumer-warranty rights that the Buyer has under law are your responsibility as the seller of the item.
13.3 Indemnification
You will defend, indemnify, and hold harmless ShopMyNest and its owners, employees, and agents from any claim, loss, damage, liability, cost, or expense (including reasonable attorneys’ fees) brought by a third party arising out of:
- Your use of the Service.
- Your listings, User Content, and sales.
- Your violation of this Seller Agreement or applicable law.
- Any allegation that an item you sold was defective, unsafe, mis-described, or infringing.
13.4 Limits of liability
The disclaimers and limits of liability in Terms of Service §§13–14 apply to your use of the Service as a Seller, including the aggregate liability cap.
14. Buyer data and privacy
14.1 What ShopMyNest shares with you
To fulfill orders, ShopMyNest shares with you the Buyer’s name, shipping address, order details, and messages sent through the app. See the Privacy Policy for the full description.
14.2 How you must handle it
You may use Buyer information only to fulfill the order, respond to Buyer questions about that order, and comply with legal obligations (e.g. sales-tax records). You may not:
- Add Buyers to marketing lists without their affirmative consent.
- Sell, rent, or share Buyer information with any third party.
- Retain Buyer information longer than needed for the order and your legal record-keeping obligations.
You are an independent data controller for the Buyer information ShopMyNest shares with you for order fulfillment, and you must comply with applicable US state privacy laws (including CCPA/CPRA where applicable) with respect to that data.
14.3 Security incidents
If you experience a security incident that may affect Buyer information you received from ShopMyNest, notify help@shopmynest.com within 72 hours and cooperate in good faith with ShopMyNest’s response.
15. Changes to this Seller Agreement
ShopMyNest may update this Seller Agreement. For material changes (fee changes, added Seller obligations, changes to dispute or payout mechanics), we will notify Sellers in-app and by email at least 30 days before the change takes effect. Non-material changes (typo fixes, clarifications, new examples) take effect on publication. Continuing to list items or accept orders after the effective date of an update means you accept the updated Seller Agreement. If you do not accept a material change, close your Seller account under §12.1 before the effective date.
16. General
16.1 Governing law and disputes
This Seller Agreement is governed by the laws of the State of New Hampshire, without regard to conflict-of-laws principles. Disputes are handled as set out in Terms of Service §16.
16.2 Assignment
You may not assign this Seller Agreement without ShopMyNest’s written consent. ShopMyNest may assign it in connection with a merger, acquisition, or sale of assets.
16.3 Independent contractors
Nothing in this Seller Agreement creates an employer-employee, agency, partnership, or joint-venture relationship between you and ShopMyNest.
16.4 Entire agreement
This Seller Agreement, together with the Terms of Service, Privacy Policy, Return & Refund Policy, and Shipping Policy, is the entire agreement between you and ShopMyNest regarding selling on the Service and supersedes any prior agreement on that subject.
16.5 Severability
If any part of this Seller Agreement is held unenforceable, the rest of it stays in effect.
16.6 No waiver
ShopMyNest’s failure to enforce any part of this Seller Agreement is not a waiver of its right to do so later.
